1. SPONSOR: This sweepstakes is sponsored by Octane Lending, Inc.® (“Octane” or as referenced herein, “Us”) 116 W 32nd St, New York, NY 10001.

1. HOW TO ENTER: Beginning on August 20, 2023 at 3:00 pm, EST through August 22, 2023 at 4:00 pm, EST, visit Octane at booth 4 at ‘Club BRP 2024’ located at Georgia World Congress Center, Building C, scan the provided QR Code or visit our website octane.co/o/preferredgiveaway2023, and follow the on-screen entry instructions to fill in the information required. If an entrant (or hereinafter referenced, “You”) cannot attend Club BRP 2024, You may still enter for a chance to win by accessing the website during the times specified above. Entrants may enter electronically nationwide. You may only enter one (1) time to win.  You can gain access to two (2) additional entries by being an All-Star member in Octane’s loyalty program, Octane Preferred. You can gain access to three (3) additional entries by being an MVP member in Octane’s loyalty program, Octane Preferred. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries by You and result in disqualification. You may not enter more times than indicated by using different states, multiple email addresses, identities, or devices in an attempt to circumvent the rules.

1. ELIGIBILITY: Open to residents who are employed by power-sports dealers of Bombardier Recreational Products Inc.  (“Dealer” or “Dealership”) located in the continental United States and entrants applying on behalf of Dealerships are 18 years of age or older as of August 20, 2023. Entry is not permitted for employees of Octane, their affiliates, subsidiaries, and agencies (collectively “Promotion Parties“), and members of their immediate family or persons living in the same household. Void where prohibited. Entry is not permitted for employees of power-sport vendors or other attendees who are not a power-sports Dealer or Dealership that sells Bombardier Recreational Products Inc.

1. DRAWING: Octane will conduct a random drawing using a third-party website, https://www.random.org/, to select from all eligible entries, a winner on or about August 23, 2023. The winner will be posted on Octane’s website and other forms of electronic or social media. Odds of winning depend on the number of entries received. Potential winners will be notified by email and by phone and must schedule a consulting meeting within thirty (30) calendar days of the date notice is sent or such other date set by Octane. 

Failure to respond within the applicable time period will result in forfeiture of prize and Octane shall have the option to award the prize to an alternate winner selected at random. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. 

All income taxes resulting from acceptance of prize are the responsibility of winner. By entering this sweepstakes, entrant accepts and agrees to these Official Rules and the decisions of the Octane, which shall be final in all matters. Acceptance of a prize also constitutes permission to Octane to use winner’s name, likeness, and basic corporate information for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.

1. LIMITATION OF LIABILITY: By entering this sweepstakes, entrants waive all right to, and hold Octane or the Promotion Parties harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Octane will not be responsible for: late, incomplete, or incorrect entries; an entrant’s failure to receive prize notices due to entrant’s spam, junk e-mail, or other security settings or for entrants’ provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this sweepstakes; by any human error which may occur in the processing of the entries in this sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the sweepstakes, or announcement of the prizes. If, in Octane’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the sweepstakes, Octane reserves the right in its sole discretion to cancel or modify this sweepstakes in a manner deemed appropriate by Octane. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form.

1. PRIZES: THERE WILL BE ONE PRIZE WINNER SELECTED. The prize consists of a  consultation with the Octane Preferred marketing team to plan a campaign to your specifications $500 value, up to 2,500 direct mail postcards $1,250 value, Custom social ads or digital files for in-dealership ads $500 value, and an email campaign sent by Octane on your dealership’s behalf $500 value.

Total prize value is estimated to be: $2,750. Limit one prize per Dealership.  In the event a represented prize is unavailable, the winner shall be presented with a certificate within 30 calendar days by shipping the prize to the winner at no cost to the winner. In the event a certificate cannot be honored within 30 days, Octane shall mail to the winner a valid check or money order for the verifiable retail value which was represented in these rules. If a potential winner is disqualified for any reason, Octane will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded.

Octane provided notice to an estimated 3,000 dealers, but the odds of winning will vary depending on the number of entries received regardless of previous notices provided.

All additional costs associated with the prizes, including mailing or delivery of the prizes, shall be afforded by Octane. 

1. PRIZE OFFERING: Prize is only offered during the specific dates of August 20, 2023 at 3pm, EST through August 22, 2023 at 4:00 P.M., EST. If a selected winner cannot attend or electronically enter to win any or all of the days, the selected winner can pass prize to another Dealership; if no one from the prize winner’s Dealership can attend or submit an entry, winner forfeits prize and Octane will pick another winner. No substitution or transfer of prize permitted by winner.

1. CHOICE OF LAW AND FORUM: You as an entrant agree that all matters disputes, claims, and causes of action brought or otherwise asserted arising out of or relating to this sweepstakes and these Official Rules are to be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in the State of Texas, in Dallas or Denton Counties, except where prohibited by law. Entrants also agree that all matters disputes, claims, and causes of action brought or otherwise asserted arising out of or relating to this sweepstakes and these Official Rules are limited to actual out-of-pocket costs incurred, and in no event include attorneys’ fees and costs. All disputes, including those that involve the construction, validity, interpretation and enforceability of these Official Rules, shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard to conflicts of law principles. In the event an action is brought to enforce Octane’s rights under or arising from this sweepstakes, Octane shall be entitled to its actual attorney’s fees and court costs, unless the law requires otherwise.

1. PRIVACY: Information submitted with an entry is subject to the Privacy Policy stated on  octane.co/o/preferredgiveaway2023. By participating in the sweepstakes, entrants authorize Octane to collect, maintain, use, process and share their information, including, without limitation, names, email addresses, physical addresses, account and other information in accordance with Octane’s Privacy Policy. You can learn more about how Octane collects, maintains, uses, processes and shares your information in this Privacy Policy. Octane’s Privacy Policy is merely a statement of administrative protocol; it is not a contract, nor does it create any contractual or legal rights. Octane’s Privacy Policy is not made, or intended to be made, a part of these Rules.

1. COMMUNICATIONS: By entering into the promotion, You agree to the receipt of mail, phone calls, and/or emails at the numbers/emails provided at enrollment for all purposes relating to this sweepstakes and to the receipt of messages about Octane’s products and services.

1. SEVERABILITY: If any part of these Official Rules are deemed unenforceable for any reason, the remainder of the Official Rules will remain in full force and effect.

1. FORCE MAJEURE: Octane is not be liable for any expense, loss, or damage resulting from delay or prevention of performance caused by fires; floods; Acts of God; strikes; labor disputes; labor shortages; lack of or reasonable inability to obtain materials, fuel, supplies, or equipment; riots; thefts; accidents; transportation delays; an act or failure to act by the Government; a major equipment breakdown; a declared state of emergency or pandemic; or any other cause beyond the reasonable control of Octane.

1. LIMITATION OF RESPONSIBILITY. Octane is not responsible for: (a) lost, late, incomplete, inaccurate, undelivered, garbled, or lost entries; (b) interrupted or unavailable network, server, Internet Service Provider (ISP), website or other connections; (c) other technical failures or difficulties experienced; (d) other errors of any kind, whether human, mechanical, electronic, network, typographical, printing or otherwise, relating to or arising under these sweepstakes or the earning or receipt of the benefits thereunder; (e) any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized; or (f) injury or damage to any computer or network related to or resulting from enrollment or participation.

1. RESERVATION OF RIGHTS. Octane reserves the right to: 

• terminate the participation of any Entrant, 
• correct or amend these Official Rules retroactively in the event of an error in the drafting of these Official Rules. (Octane reserves the right to correct such error(s) and to have such correction apply retroactively.) 
• cancel the entire or part of these sweepstakes, or to modify for any reason. 

Such actions may be taken by Octane in its sole discretion and for any reason at any time. Notice of any of these actions will be posted by Octane via email.
